These Terms of Service (the “Terms”) govern your access to and use of the appointment-booking and AI receptionist services provided by Solutrons Inc. (“Fiyr”, “we,” “us,” or “our”). By using our services, you agree to these Terms.
1. The Service
Fiyr provides business customers (“Clients”) with a dedicated phone number and AI receptionist that can handle calls and SMS to facilitate scheduling, confirmations, reminders, and related transactional messages with the Client’s end users (“End Users”).
2. Eligibility & Accounts
– Clients must be at least 18 and authorized to bind their organization.
– Clients are responsible for account credentials and all activity under their account.
3. Acceptable Use
– Clients may use the Service only for lawful, non‑fraudulent purposes and in compliance with applicable messaging and telephony laws, carrier rules, and industry guidelines (including A2P 10DLC, TCPA, CTIA).
– No unsolicited marketing or spam. End Users must provide valid consent prior to receiving SMS. Clients are responsible for opt‑in capture and content.
– Prohibited content includes illegal, harmful, deceptive, or abusive content, restricted categories, and content violating intellectual property or privacy rights.
4. Messaging Compliance (A2P / SMS)
– Provide clear Call to Action and consent capture for End Users, including brand identification, message frequency, “message and data rates may apply,” and opt-out/HELP instructions.
– Honor End User requests: reply STOP to opt out; HELP for help.
– Ensure content is transactional and related to End User booking or support unless End User has consented to marketing.
5. Data Processing & Subprocessors
– We use third-party communications providers (e.g., Twilio) as subprocessors. Client instructs Fiyr to process End User data for delivering calls/SMS, appointment workflows, and related support.
6. Service Levels & Changes
– We may modify the Service or these Terms from time to time. Material changes will be notified. Continued use constitutes acceptance. Service may be suspended for maintenance, security incidents, abuse, or non-payment.
7. Fees & Taxes
– Fees as described in your order or dashboard. Usage-based charges may apply. Prices exclude taxes unless stated.
8. Term; Termination
– Either party may terminate for convenience or for cause if material breach occurs and is not cured within 30 days.
9. Intellectual Property
– We retain all rights in the Service, software, and materials. Client content remains Client’s property. Client grants us a limited license to process content to provide the Service.
10. Confidentiality
– Protect each party’s confidential information and use it only for the relationship.
11. Disclaimers
– Service is provided “as is.” No warranty for uninterrupted operation or message delivery due to third-party networks.
12. Limitation of Liability
– Neither party liable for indirect, incidental, special, consequential, or punitive damages. Aggregate liability limited to amounts paid in prior 12 months.
13. Indemnification
– Client will defend and indemnify Fiyr from claims arising from Client content, unlawful use, or failure to obtain consent from End Users.
14. Governing Law; Dispute Resolution
– Governed by Texas laws. Disputes resolved by binding arbitration in Harris County.
